Sales Basket UK is referred to in this terms of conditions as Sales Basket 2. Price
All prices are inclusive of Value Added Tax (VAT), carriage unless explicitly stated otherwise. . Sales Basket UK reserves the right to change prices quoted in advertisements and price list without previous notice. 4. Order Acceptance
All orders are accepted and products supplied subject to these express terms and conditions only. These terms and conditions prevail over the customers’ terms and conditions of purchase. Any changes in these terms and conditions are only accepted by SalesBasket UK in writing and signed by SalesBasket UK. 5. Delivery
Time quoted by SalesBasket UK for delivery of goods is to be treated as an estimate only. Delivery may be postponed because of circumstances beyond SalesBasket control and SalesBasket UK shall not be liable for any damages or penalties relating to the/any delay in dispatch or delivery. If products are not received then the customer must notify SalesBasket UK within 4 days of dispatch. 6. Payment Terms
Unless an account is held by a Customer, invoices are payable before dispatch (this does not include orders from Government Departments, Educational Establishments or publicly quoted PLC's). Payment terms for account Customers is strictly thirty (30) days from invoice date. SalesBasket UK shall be entitled in the event that the amount payable to it under any contract is overdue, without prejudice to any other right, suspend deliveries until such payment has been made and further payments secured to SalesBasket UK's satisfaction. SalesBasket UK reserves the right to pass any debt beyond the thirty (30) day payment period to its own debt collection agency to expedite recovery of sums overdue. 7. Retention of Title
Title to the products or the benefit of any applicable license in the case of software Products shall pass to the customer after all amounts due to SalesBasket UK in respect of the supply of the Products have been paid in full. Until such a time that title in the Products passes to the Customer (and provided the Products are still in existence and have not been resold), SalesBasket UK shall be entitled at any time to require the Customer to deliver up the Products to SalesBasket UK and, if the Customer fails to do so forthwith, to enter upon any premises of the Customer or any third party where the Products are located and repossess the Products. 8. Price
SalesBasket UK will not be liable in respect to any loss or damage caused by or resulting from any variation of whatsoever reason in the manufacturer's specification or technical data relating to the Products and will not be responsible for any loss or damage resulting from curtailment or cessation of supply following such variation. Unless otherwise agreed the Products are supplied in accordance with the manufacturer's standard specifications as these may be improved, substituted or modified. SalesBasket UK reserves the right to increase its quoted or listed price, or charges accordingly, in respect of any orders accepted for Products of non-standard specifications and in no circumstances will it consider cancellation of such orders or the return of such Products. 9. Warranty
SalesBasket UK warrants, return to base for twelve (12) months, to the original purchaser of SalesBasket UK Products which proves defective during normal use, that it will replace or repair parts found by SalesBasket UK to be defective due to faulty parts. SalesBasket UK accepts no responsibility for and issues not warranty for goods which have not been used in accordance with the specifications for such parts. 10. Returns
SalesBasket UK is under no obligation to accept returns of goods that have been ordered in error or are no longer required by the Customer. Any return of goods must first be authorized by SalesBasket UK, who will issue a Return Authorization Number (RMA). Any goods returned without this number will not be accepted. Unless agreed otherwise it shall be the responsibility of the Customer to deliver returned goods to SalesBasket UK and cover risk during delivery. Any items returned to SalesBasket UK without any fault is subject to a 15% restocking fee. Faulty goods diagnosed by SalesBasket UK have to be verified by the manufacturer within their specified time, in order to be replaced or repaired. 11. Force Majeure
If SalesBasket UK is prevented from, delayed or hindered (whether wholly or in part) in the performance of any warranty given by strike, lockout, trade dispute, Act Of God, war,' riot, explosion, fire, shortages of material, labor, transport or fuel, or without limiting the generality of the foregoing by other cause or consequence outside the company's direct control whether affecting its own business or that of any supplier or subcontractor, SalesBasket UK shall not be liable for any loss or damage (direct, indirect or consequential) to the Customer or any third party. 12. Proper Law
These conditions shall be governed and constructed by English Law and the English Courts shall have exclusive jurisdiction in connection herewith.
